These Terms of Service (“Terms”) constitute a binding agreement between Axxent Partners, Inc. (“Axxent Partners,” “we,” “us,” or “our”) and you (“you” or “your”) governing your access to and use of our websites, applications, products, and services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility & Accounts
- You must be of legal age to form a binding contract in your jurisdiction.
- You agree to provide accurate, complete, and current information and to keep it updated.
- You are responsible for maintaining the confidentiality of your credentials and all activity under your account.
2. Use of the Services
- Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services.
- You agree not to (a) reverse engineer, decompile, or disassemble the Services; (b) bypass or violate security controls; (c) use the Services for unlawful, infringing, misleading, or harmful purposes; (d) interfere with or disrupt the Services or networks; (e) use any automated means to access the Services without our permission.
- We may introduce beta, preview, or experimental features; such features are provided “as is” and may be modified or discontinued at any time.
3. Merchant, Loyalty, and Payment Features
If the Services include loyalty, rewards, wallet, or payment‑related capabilities, you acknowledge that such features may involve third‑party providers (e.g., processors, issuers, networks) and are subject to their separate terms. We do not control and are not responsible for third‑party services. You are responsible for complying with applicable laws, card/network rules, and partner terms when using these features.
4. Fees & Taxes
We may charge fees for certain Services. We will disclose fees to you before they apply. You are responsible for any taxes associated with your use of the Services, excluding our income taxes.
5. Proprietary Rights
The Services, including all content, software, text, images, trademarks, logos, and other materials, are owned by Axxent Partners or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted, no rights are transferred to you.
6. User Content
- You retain ownership of content you submit to or through the Services (“User Content”).
- You grant Axxent Partners a worldwide, non‑exclusive, royalty‑free license to host, use, reproduce, modify, and display your User Content to operate, improve, and provide the Services.
- You represent and warrant you have all rights necessary to grant this license and that your User Content does not violate law or third‑party rights.
7. Privacy
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share information about you.
8. Third‑Party Services & Links
The Services may reference or integrate third‑party services or contain links to third‑party sites. We are not responsible for third‑party services or content and provide them only as a convenience. Your use of third‑party services is at your own risk and subject to their terms and policies.
9. Prohibited Activities
You may not use the Services for any illegal activity, including (without limitation) money laundering, fraud, sanctions violations, or activities that infringe intellectual property or privacy rights. We may suspend or terminate access for suspected violations.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AXXENT PARTNERS OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.
12. Indemnification
You will indemnify, defend, and hold harmless Axxent Partners and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Services, or your violation of these Terms or applicable law.
13. Suspension & Termination
We may suspend or terminate your access to the Services at any time with or without notice if we reasonably believe you have violated these Terms, pose a security or legal risk, or for any other reason. Upon termination, the license granted to you ends immediately. Sections that by their nature should survive will survive (e.g., fees, IP, disclaimers, limitations of liability, indemnities, dispute resolution).
14. Governing Law; Venue
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Except as provided in Section 15 (Arbitration), you and Axxent Partners agree to submit to the exclusive jurisdiction of the state and federal courts located in Laramie County, Wyoming.
15. Dispute Resolution; Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be settled by binding arbitration administered by a recognized arbitration provider. The arbitration will be conducted on an individual basis in English in Laramie County, Wyoming, unless we both agree otherwise. You and Axxent Partners waive any right to a jury trial or to participate in a class action. This Section does not prevent you or us from seeking temporary or injunctive relief in court.
16. Changes to the Services or Terms
We may modify the Services and these Terms from time to time. If we make material changes, we will provide notice as required by law. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
17. Miscellaneous
- Entire Agreement. These Terms, along with any policies referenced (e.g., the Privacy Policy), form the entire agreement between you and Axxent Partners.
- Severability. If any provision is found unenforceable, the remaining provisions will remain in full force.
- No Waiver. Failure to enforce a provision is not a waiver of that provision.
- Assignment. You may not assign or transfer your rights under these Terms without our prior written consent; we may assign freely.
- Export. You agree to comply with applicable export control and sanctions laws.
